Quick answer

Washington franchise registration and FDD requirements

Washington is one of the 14 franchise registration states. Your Franchise Disclosure Document (FDD) must be registered with the Department of Financial Institutions, Securities Division and declared effective before you offer or sell a franchise to a Washington resident or for a location in Washington, and the registration is renewed every year. Plan for the state’s review time in your launch date, and do not advertise the franchise opportunity to Washington residents until the filing is effective.

Is Washington a franchise registration state?

Yes.

Washington also has a franchise relationship law that restricts when and how a franchisor can terminate or decline to renew a franchise, so your franchise agreement should be reviewed against it.

What Washington franchise registration involves

  • Application and FDD. You file your FDD, franchise agreement and the state application with the Department of Financial Institutions, Securities Division, with the filing fee.
  • Examiner review. The state reviews the filing and may issue a comment letter; you respond with revisions before registration is declared effective.
  • No offers before effectiveness. You cannot offer or sell a franchise to a Washington resident, or for a unit located in Washington, until registration is effective. That includes advertising the opportunity to Washington audiences.
  • Financial assurance. Newer franchisors with limited capital may be asked to defer initial fees, escrow them or post a bond until opening obligations are met.
  • Annual renewal and amendments. Registration is renewed every year, and material changes to the FDD are filed as amendments.

General information, not legal advice. State franchise and business-opportunity rules change; your franchise attorney confirms what applies to your offering.

Preparing an FDD that clears Washington review

Most delays come from inconsistencies the examiner spots: fees in Items 5 to 7 that do not match the agreement, an Item 19 financial performance representation without support, missing state addenda, or financial statements that are not current. We assemble the business information behind all 23 Items with your attorney so the filing is complete and consistent the first time.

Registration planning beyond Washington

Your registration order should follow your territory plan. In the Pacific, California and Hawaii also require registration. Nationally, 14 states require registration or notice filing before you sell. See the franchise registration states guide.
